Terms of Service
The agreement between Veridion and you for access to the APIs, data, and product. Written plainly.

These Terms & Conditions (the "Terms") govern your access to and use of the websites, applications, APIs, the API Playground, the Market Research tool, developer portals, data samples, and all other products and services (collectively, the "Services") made available by Soleadify Inc., a Delaware corporation doing business as Veridion ("Veridion," "we," "us," or "our").
By creating an account, generating or using an API token (including a trial API token), accessing the API Playground or the Market Research tool, or otherwise accessing or using the Services, you ("you," "your," or "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Services.
Important — where a signed agreement exists. If you and Veridion have entered into a separate written master services, subscription, data licensing, or similar agreement signed by both parties (a "Formal Agreement"), that Formal Agreement governs to the extent of any conflict with these Terms for the products and data it covers. In the absence of a Formal Agreement, these Terms are the complete agreement governing your use of the Services, and no commercial or production use of Veridion data is permitted except as these Terms expressly allow.
1. Definitions
- "Veridion Data" means all data, records, company profiles, attributes, classifications, identifiers, scores, match results, and other content made available through the Services, together with any derivations, compilations, and structures thereof, whether returned via API, the Playground, the Market Research tool, data samples, files, or any other means.
- "API Token" means any credential (including a trial API token) issued to you to authenticate calls to the Services.
- "Credits" means the units used to meter your consumption of the Services, as described in Section 5.
- "Trial" means access provided on a free, evaluation basis, including any trial API token and free Credits issued when you create an account.
- "Playground" means the interactive interface on the Site that lets you send test queries and view live Veridion Data in the response.
- "Market Research Tool" means the interactive interface on the Site through which Veridion Data is surfaced for search, filtering, and analysis.
- "Formal Agreement" has the meaning given in the introduction above.
- "Documentation" means Veridion's then-current usage guides, API references, and per-API terms made available through the Services, including attribution requirements.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate registration information and to keep it up to date. You are responsible for all activity that occurs under your account and API Tokens, and for maintaining the confidentiality of your credentials. You must notify us promptly at legal@veridion.com of any unauthorized use of your account or API Tokens. You may not share, sell, sublicense, or transfer your account or API Tokens to any third party.
3. Trial Access, API Tokens, and Free Credits
When you create an account, Veridion may issue you a trial API token and a limited allocation of free Credits. Trial access is provided solely for your internal evaluation, testing, and integration development — for example, to assess data fit, prototype an integration, and test connectivity in a non-production environment.
Trial access is subject to the following conditions, which are material to these Terms:
- No production or public-facing use. Veridion Data obtained through a Trial (including through a trial API token, the Playground, free Credits, or the Market Research Tool) must not be used in, incorporated into, displayed by, or relied upon by any production system, live environment, customer-facing feature, or public-facing product or service.
- No commercial use. Trial Veridion Data may not be used for any commercial purpose, monetization, or benefit to you or any third party.
- No redistribution. You may not sell, license, sublicense, publish, share, or otherwise distribute Trial Veridion Data to any third party.
- Evaluation only, time- and volume-limited. Trials may be limited in duration, Credit allocation, rate, and functionality, and may be modified, suspended, or terminated by Veridion at any time, with or without notice.
- One trial per customer. You may not create multiple accounts, or use multiple identities or API Tokens, to obtain additional free Credits or circumvent Trial limits.
- As-is. Trials are provided "as is" and "as available," without any warranty and without any service-level or support commitment (see Sections 12 and 13).
Production, commercial, and public-facing use of Veridion Data requires a Formal Agreement and a paid plan. Contact sales@veridion.com.
4. The Playground and the Market Research Tool
The Playground and the Market Research Tool make live Veridion Data available to you for evaluation and internal analysis only, on the same conditions that apply to Trials in Section 3. Without limiting Section 3 or the Acceptable Use Policy:
- You may view, and manually and reasonably use for internal evaluation, the results returned to you.
- You must not systematically query, page through, bulk-extract, cache, store, compile, scrape, or otherwise harvest Veridion Data from the Playground or the Market Research Tool in order to accumulate, reconstruct, or approximate any portion of Veridion's datasets.
- You must not use the Playground or the Market Research Tool to build, train, benchmark, or improve any product, dataset, model, or service that competes with Veridion.
- You must not display, republish, or redistribute data obtained through the Playground or the Market Research Tool.
Data made available through these tools remains Veridion's proprietary data at all times and is licensed to you only as expressly set out in these Terms.
5. Credits, Fees, and Payment
Consumption of the Services is metered in Credits. The number of Credits consumed by a given call or record depends on the product or API used and is described in your plan and the Documentation. Except for free Credits issued with a Trial, Credits are purchased under a paid plan or Formal Agreement. Unless stated otherwise in writing: fees are non-refundable; Credits may expire; and Veridion may change its pricing, Credit weightings, and plans prospectively. You are responsible for all applicable taxes. Late or failed payment may result in suspension or termination of access.
6. License Grant and Restrictions
Subject to your compliance with these Terms and payment of applicable fees, and only to the extent your access is not on a Trial basis, Veridion grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and to use Veridion Data solely for your own internal business purposes and only as expressly permitted by your plan, the Documentation, and any Formal Agreement.
Except as expressly authorized in writing by Veridion (including under a Formal Agreement), you must not, and must not permit any third party to:
- use Veridion Data for any commercial purpose, or sell, license, sublicense, rent, lease, publish, broadcast, distribute, disclose, or otherwise make Veridion Data available to any third party;
- incorporate Veridion Data into any product, dataset, service, or output that is provided, displayed, or sold to third parties, or that is public-facing;
- use Veridion Data or the Services to build, train, improve, benchmark, or populate any database, model, or service that competes with Veridion or replicates its datasets;
- scrape, crawl, spider, harvest, or use automated means to extract data from the Services beyond your authorized API usage, or circumvent, disable, or exceed rate limits, quotas, Credit metering, or access controls (see the Acceptable Use Policy);
- cache, store, or retain Veridion Data beyond the scope, purpose, and duration permitted by your plan or Formal Agreement, or create derivative datasets from Veridion Data;
- reverse engineer, decompile, or disassemble any part of the Services, or attempt to derive source code, underlying data-collection methods, or model weights;
- remove, obscure, or alter any proprietary notices, or fail to include required attribution (see Section 8);
- use the Services in violation of the Acceptable Use Policy, which is incorporated into these Terms by reference; or
- use the Services in any unlawful manner or in violation of any third party's rights.
All rights not expressly granted are reserved by Veridion. No commercial use, public-facing use, or distribution of Veridion Data is permitted without a Formal Agreement with Veridion.
7. Intellectual Property
As between you and Veridion, Veridion (and its licensors) owns and retains all right, title, and interest in and to the Services, Veridion Data, the Documentation, and all related intellectual property, including all compilations, structures, classifications, scores, and derivations, and all associated database rights (including sui generis database rights under applicable law). These Terms do not transfer any ownership to you; you receive only the limited license expressly set out in Section 6. You retain ownership of your own data that you submit to the Services ("Customer Content"), and you grant Veridion a license to process Customer Content as necessary to provide the Services and as described in the Privacy Policy.
8. Attribution and Backlink Requirements
Certain Veridion products and APIs require that you attribute Veridion and provide a backlink to Veridion wherever the relevant data is published or displayed. Where such a requirement applies, it is stated clearly in the Documentation for that specific API or product, and it forms part of the license conditions for that data. Where an attribution or backlink requirement applies, you must:
- display the required attribution (for example, "Powered by Veridion" or the specific wording set out in the Documentation) prominently and legibly wherever the data appears; and
- include a functioning hyperlink (backlink) to the URL specified in the Documentation.
Failure to provide required attribution is a material breach of these Terms and, without limiting Veridion's other remedies, may result in suspension or termination of your access. Attribution does not grant any right to use Veridion Data beyond what is otherwise licensed, and in particular does not authorize commercial or public-facing use where a Formal Agreement is required.
9. Anti-Scraping and Data Protection Measures
You acknowledge that Veridion Data is proprietary and that Veridion invests substantial resources in collecting, structuring, and maintaining it. You agree not to engage in, and not to assist or permit any third party to engage in, any scraping, crawling, automated extraction, bulk downloading, or circumvention of technical protection measures, rate limits, or access controls, as further described in the Acceptable Use Policy. Veridion may deploy technical measures — including rate limiting, anomaly detection, watermarking, fingerprinting, honeypot records, and query monitoring — to detect and prevent prohibited use, and you agree not to interfere with or circumvent those measures. Veridion may log and analyze your usage (including via API Usage Logs) to enforce these Terms.
10. Suspension and Termination
Veridion may suspend or terminate your access to all or part of the Services, immediately and without liability, if: (a) you breach these Terms, the Acceptable Use Policy, or a Formal Agreement; (b) we reasonably suspect scraping, credit or trial abuse, token sharing, or unauthorized use or redistribution of Veridion Data; (c) required by law; or (d) necessary to protect the Services, Veridion Data, or other users. We may also suspend access for non-payment. You may stop using the Services at any time. On termination, your license ends and you must cease all use of Veridion Data and delete all Veridion Data in your possession or control, except as a Formal Agreement expressly permits. Sections that by their nature should survive termination (including Sections 6–9, 11–17) survive.
11. Confidentiality
Non-public information disclosed by Veridion, including the Documentation, non-public features, pricing, and Veridion Data not otherwise made public, is Veridion's confidential information. You must protect it using at least reasonable care, use it only to exercise your rights under these Terms, and not disclose it to third parties without Veridion's prior written consent.
12. Disclaimers
THE SERVICES AND VERIDION DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. VERIDION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT VERIDION DATA IS ACCURATE, CURRENT, OR COMPLETE. TRIAL, PLAYGROUND, AND MARKET RESEARCH TOOL ACCESS ARE PROVIDED WITHOUT ANY WARRANTY OR SERVICE COMMITMENT WHATSOEVER. YOU ARE RESPONSIBLE FOR YOUR USE OF, AND ANY DECISIONS MADE IN RELIANCE ON, VERIDION DATA.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDION AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VERIDION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VERIDION FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). FOR TRIAL, PLAYGROUND, AND MARKET RESEARCH TOOL ACCESS PROVIDED WITHOUT CHARGE, VERIDION'S TOTAL LIABILITY WILL NOT EXCEED US$100.
14. Indemnification
You will defend, indemnify, and hold harmless Veridion and its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services or Veridion Data; (b) your breach of these Terms or the Acceptable Use Policy; (c) your unauthorized use, distribution, or public display of Veridion Data; or (d) your violation of any law or third-party right.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Subject to the Data Protection Addendum (Section 18), the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to their jurisdiction and venue. (For EEA/UK customers, mandatory local consumer and data-protection rights are unaffected — see Section 18; counsel to confirm any required carve-outs.)
16. Changes to the Services and to these Terms
We may modify the Services and these Terms from time to time. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new "Updated" date or by emailing account holders). Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
17. General
These Terms, together with the Privacy Policy, the Acceptable Use Policy, the Cookie Policy, the Documentation, and any Formal Agreement, constitute the entire agreement between you and Veridion regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Veridion's failure to enforce a provision is not a waiver. You may not assign these Terms without Veridion's prior written consent; Veridion may assign them freely. Nothing in these Terms creates a partnership, agency, or employment relationship. Notices to Veridion should be sent to legal@veridion.com.
18. Data Protection Addendum (EU/UK/Swiss)
Where Veridion processes personal data on your behalf in providing the Services, or where you process personal data contained in Veridion Data, each party will comply with applicable data protection laws, including the EU GDPR, the UK GDPR, and the Swiss FADP. EEA-origin personal data is hosted on servers located in the European Union, operated by Veridion's affiliate Dataworks Research SRL (Bucharest, Romania). Where required, the parties will enter into Standard Contractual Clauses and/or the UK International Data Transfer Addendum for any restricted transfers. The Privacy Policy describes Veridion's role as controller and processor. This Addendum supplements, and to the extent of any conflict on data-protection matters prevails over, Section 15. (Counsel to expand into a full DPA/SCC exhibit as needed.)
